Our client, a reputable international bank,is looking for a Non-Executive Director.

To facilitate future succession, the board is seeking to appoint an independent Non-Executive Director to chair the Board of Directors. The job purpose of the Non-Executive Director(NED) is to offer a creative contribution to the board by providing independent oversight and constructive challenge to the executive directors.

[Responsibilities]

(1) Lead Board meetings and ensure the board functions effectively

(2) Provide constructive and robust challenge to the Board, and contribute to the development of strategy, bringing their experience and expertise to bear

(3) Encourage risk awareness and uphold the highest standards of conduct and integrity, supporting Board members by seeking to instill the appropriate culture, values and behaviours in the boardroom and beyond

(4) Monitoring the Executive Board’s performance and remuneration and advising on succession planning

(5) Ensuring that the company accounts are presented as a true and fair reflection of its actions and financial performance, and that the necessary internal control systems are put into place and monitored regularly and rigorously

(6) Commit sufficient time and resource to fulfill all functional responsibilities including ad-hoc advice to the Board as and when required (The total time commitment per annum is estimated as 20 to 25 days including quarterly board meetings).

[Requirements]

(1) Relevant Board experience in the UK banking sector or comparable European position (preferably Independent Non-Executive Director role as Chair of a board sub-committee)

(2) Corporate banking or investment banking experience as a senior manager/director

(3) Knowledge and experience of UK corporate governance and financial regulation, with an ability to interpret guidance of relevant regulatory authorities

(4) Experience of working with UK regulators or comparable European bodies

(5) Experience of overseeing the development of a firm’s remuneration policies and practices

(6) Undisputed integrity

(7) Must be educated to degree level

(8) A strong team player to lead Board cohesion and effectiveness

(9) Independence of thought, with an ability to challenge in a constructive and effective manner

(10) Cultural agility to lead the development of a firm’s culture by the governing body as a whole

[Conditions]

(1) Job type: 2 year contract (subject to be renewed)

(2) Job location: City of London

(3) Salary: 45~55K (depending on experience)
