As a large asset management company, our client is seeking an Assistant Company Secretary to provide crucial support to the Secretariat team in managing various governance functions and operations.

Responsibilities

Board Support

  • Assist subsidiary Boards and committees with administrative tasks
  • Coordinate paper production and distribution, including minute-taking
  • Support Plc Board administration and AGM preparation

Stock Exchange

  • Issue standard Stock Exchange announcements

Statutory Compliance for UK Subsidiary Companies

  • Maintain statutory books and governance processes
  • Prepare and file Companies House forms
  • Assist in Annual Reports and Accounts preparation

Share Schemes:

  • Administer employee and discretionary share schemes
  • Manage share capital data and collaborate with vendors
  • Prepare share reconciliation reports and tax returns

Other Duties:

  • Support annual report production and AGM notice
  • Manage the Company’s share registrar
  • Oversee corporate governance policies
  • Implement insider trading policy and maintain records
  • Research new areas of governance and company law
  • Support corporate projects

Requirements

  • Prior UK listed company secretariat experience (3-4 years)
  • CGI qualification or studying
  • Self-motivated, proactive, and flexible
  • Highly organized with strong communication skills
  • IT literacy and willingness to learn company law and governance

Hybrid working, 2 to 3 days per week WFH.
