Main Purpose:
Reporting to the Head of Legal Entity Management & Company Secretarial, the successful applicant will be responsible for a wide portfolio of companies in multiple jurisdictions (predominantly in LATAM)
This role is for someone keen to take on a varied and interesting role within a fast moving and dynamic team - this is not a traditional company secretarial role. It is important to note that the role requires a hands-on, flexible approach and a willingness to deal with regular day-to-day administration e.g. filing, coordinating signatures, correspondence, etc.. The successful applicant will form part of a global team who collectively perform a similar role for group companies worldwide.

Knowledge Skills and Abilities, Key Responsibilities:

Knowledge, Skills and Abilities
- Familiarity with company secretarial practice is essential; knowledge of other jurisdictions is highly desirable.
- 5 -8 years of relevant work experience, gained ideally in an in-house legal or company secretarial department or with a legal firm or company secretarial service provider.
- Relevant academic background, such as a law degree and/or professional qualification (eg. ICSI or ICSA) preferred.
- Demonstrable ability to work in a fast-paced commercial environment, often dealing with senior management and colleagues based worldwide.
- Ability to work independently and comfortable with managing a busy workload of changing priorities.
- A practical, 'can do' attitude and ability to produce quick solutions is essential.
- Fluent English; other European languages (in particular Spanish) desirable..
- Familiarity with company secretarial software (eg DocuSign, Diligent, GEMS, etc.) desirable.
- Familiarity with standard MS Office computer software and online resources essential.
- Excellent oral and written communication skills.

Key Responsibilities

Ownership of the administration and management of all corporate secretarial matters for a portfolio of legal entities across a variety of jurisdictions.

Responsibilities include but are not limited to:
  • Providing support to corporate projects and transactions;
  • Drafting, reviewing, coordinating and managing the timely and accurate execution of legal and corporate documents (e.g. resolutions, board minutes, powers of attorney, proxies, share transfers, intercompany loan agreements, guarantees and services agreements) to ensure that the companies fulfil their legal and statutory obligations in the relevant jurisdiction.
  • Managing, supporting and responding to daily ad hoc requests which are received in the shared Company Secretarial inbox.
  • Maintaining accurate and proper statutory records and overseeing document and record management and other administrative processes.
  • Liaising with and supporting internal group functions (including legal, tax, finance, treasury) as well as external suppliers, professional advisors (audit and legal) and company agents.
Key Relationships and Department Overview:

The Company Secretarial department supports all business areas and provides company secretarial and corporate administration services, including the incorporation and upkeep of legal entities and the creation and maintenance of the company secretarial records and registers for all group companies.
