YOUR IMPACT
We are looking for a qualified lawyer to join our Prime Services and Securities Financing Transactions (Prime & SFT) Legal team, which is part of the Global Banking & Markets Legal team. The role will be based in London or Paris and will involve providing both transactional and advisory support for a number of different trading desks utilising securities financing products as well as the Prime Brokerage business unit.
The Prime & SFT businesses provide a wide range of client services; including custody, clearing and settlement and financing solutions for Prime Brokerage clients as well as structured funding solutions in the form of repo, securities lending or derivative transactions. The Prime & SFT businesses require legal advice on the specific structure of these services, transactions and financing arrangements; legal expertise with respect to the use of various market infrastructure; work on legal questions related to a range of trading documentation; work on the legal aspects of new product development; implementation of strategic and regulatory change; and advice on all aspects of legal and reputational risk. The Prime & SFT Legal team work with a broad range of stakeholders, including the Prime business, multiple trading desks, Compliance, Operations, Credit and Risk.
The role sits within a broader Prime & SFT Legal team of nine permanent members, split between London and Birmingham, covering the EMEA Prime Services business and trading desks within GBM Public utilising securities financing products.
RESPONSIBILITIES
  • Advising on all aspects of Prime Brokerage services; including bespoke margining and financing arrangements, custody, clearing and settlement and the provision of Capital Introduction services.
  • Legal advice with respect to the use of and arrangements with execution, clearing and custody / settlement market infrastructure; such as CCPs, trading venues, custodians, central securities depositories, intermediate brokers.
  • Giving strategic advice to Prime leadership on a range of reputational and regulatory issues; in particular advising internal Business, Credit and Risk groups on potential regulatory change and broader financial industry developments.
  • Advising on structuring and documentation of cash and securities lending as well as related security arrangements.
  • Advising on financing transactions through derivatives under an ISDA master agreement.
  • Assisting with the negotiation and drafting of transactional documents, including coordination with internal negotiation teams and management of external counsel.
  • Advising and working on industry netting and collateral enforceability opinions related to different client-types and collateral, and other types of legal opinions for purposes such as for client money and capital requirements.
  • Advising on the implementation of and ongoing compliance with key relevant UK and EU regulations or associated obligations.
SKILLS, EXPERIENCE AND QUALIFICATIONS
  • Strong educational background.
  • At least two years post qualification relevant experience in a law firm or in-house.
  • Qualification as a lawyer, preferably in the EU or the UK (or similar).
  • Ability to apply legal concepts to complex prime brokerage and trading scenarios and explain them in an accessible way.
  • Excellent communication skills, both oral and written.
  • Dynamic approach, with an intellectual curiosity that will enable you to develop within the role and effectively identify legal issues and/or risk.
  • Team oriented, with the ability to work within a collegiate environment with multiple stakeholders across different locations.
  • Ability to prioritise work effectively, be pro-active in a challenging business environment and to respond to client demands in a timely manner.
