I have just been instructed on a fantastic new role going in an investment company for an Assistant Company Secretary where your duties would include providing a comprehensive range of company secretarial services to the business.

In particular, your duties would include:

Statutory administration 

  • The role involves managing electronic records through Diligent Entities/Boards,
  • Generating timely reports
  • Logging conflicts
  • Filing documents with Companies House
  • Ensuring timely corporate reporting
  • Responding to 'Know Your Customer' (KYC) requests
  • Updating the governance tracker with emerging risks
  • Supporting annual insurance renewal
  • Conducting an annual review of information held by third-party providers
  • Addressing queries related to company secretariat issues from group entities

Board and Committee Support

  • Supporting Committees and company entities
  • Attending investment Committee meetings
  • Managing tasks like agenda setting and minuting
  • Collaborating with deal teams on internal implications of decisions

Advisory Support

  • Providing advisory support to the business by offering practical guidance on the proper application of corporate law and statutory filings
  • Monitoring legislative changes and developing/maintaining key constitutional documents
  • Supporting team members during peak workloads, assisting in embedding governance frameworks, and handling ad-hoc projects and general administration

WFH: 3 days per week in the office, 2 from home

Key skills:

  • This would be a super opportunity for a qualified company secretary with FS experience!
