Legal Support for Fleet Management and Fleet Finance.

The “Senior Legal Counsel – Aircraft Leasing & Finance” is accountable for the provision and co-ordination of efficient, high-quality, focused legal support to the TUI Fleet Management and Fleet Finance (‘FMFF’) directorate, driving real value into relevant transactions.

Leading a small legal team, this role will act as an independent legal business partner and advisor to the Director of Fleet Management and Fleet Finance. It will work in an integrated manner with the FMFF team and, external legal advisors, advising upon management of legal risk, compliance with applicable laws and regulations and also maximising the efficiency and value derived from instruction of external law firms.

TUI Group is in a rolling process of renewals across its aircraft fleet. It is scheduled to take delivery of a substantial number of new aircraft, return end of lease aircraft and continue its significant winter subleasing programme in the coming years. 

What you will be doing

As Senior Legal Counsel – Aircraft Leasing & Finance, you will be an independent business partner to the Director of FMFF helping to inform strategy. You will also be a trusted adviser to the FMFF team, advising on a range of transactional and non-transactional activities.

Transactional activities include the drafting, review and negotiation of aircraft and engine operating leases and subleases (including transfers between TUI airlines), purchase agreements, sale agreements, guarantees, amendment agreements and ancillary documents; monitoring lease novations and ensuring the Lessee’s interests are adequately protected; advising in relation to aircraft lease returns, including pre-return lease analysis and advice related to end of lease compensation mechanisms and related documents; supporting FMFF in respect of OEM supply agreements and any related amendments; ensuring that post-closing activity is appropriately managed.

Non-transactional activities include management of dispute resolution related to the TUI fleet, special projects (e.g. related to corporate M&A activity), knowledge management (notably related to sanctions, Cape Town Convention, aircraft/lease registration issues and product liability), driving efficiency from our external legal advisors and working with the Aviation Practice Group on specific areas of practice of relevance to the TUI airlines.

Such other tasks as the General Counsel or Director of FMFF reasonably see fit.

What we are looking for
  • A technically proficient lawyer with not less than 8 years PQE (in English law) developing and proving knowledge and experience in aircraft leasing and asset financing;
  • An ability to articulate complex legal concepts and positions clearly and concisely and provide user-friendly, accurate language to deliver legal advice is a useful and coherent manner;
  • Skills delivering effective prioritisation, organisation and management of a high volume workload to enable success in a high-pressure environment.
  • An ability to balance commercial insight with a knowledge–based risk management approach.
  • Enthusiasm for the aviation sector, including the technical and operational aspects;
  • An ability to delegate, share knowledge and manage the performance of other members of the Legal team;
  • Previous experience working in an in-house environment with sophisticated internal clients would be an advantage.
