Legal Counsel (Senior)

Time Out are growing their London based legal team of three people (2 lawyers and a paralegal). Time Out is seeking an experienced commercial lawyer with a good background in information services transactions, commercial contracting, privacy and regulatory compliance, in the media industry. Reporting to the General Counsel, based in London, UK, you will be responsible for legal matters arising in Continental Europe, US and the United Kingdom, together with specific regional and global projects.

You will oversee a broad variety of legal work including commercial and transactional work in support of local and global business units, advising business leaders on legal and commercial issues. You will be expected to provide professional, timely, cost-effective, practical legal advice and support, managing risks while facilitating commercial goals. This position supports various departments to make sure our business activities comply with relevant policies and regulations.

Key Duties and Responsibilities

Day to day essential duties will include reviewing, negotiating, advising on and drafting a large variety of commercial and IT contracts such as sale and purchase agreements, and assisting and advising Time Out Business Leaders with contract negotiations as well as helping to structure contractual relationships with information providers, vendors, consultants, and distributors.

= You will be responsible for reviewing, drafting, advising on and negotiating technology and commercial agreements, third party supplier/vendor agreements, licensing agreements (SaaS, PaaS), agreements licensing out Time Out’s IP, franchise agreements, partnership agreements, IT consultancy agreements, freelancer agreements, content/editorial agreements including IP assignments/licences, digital advertising agreements, venue hire and live event delivery agreements, channel partner agreements and e-commerce affiliates agreements; inbound software development agreements, consulting agreements, onshore and offshore service agreements and maintenance agreements

= Working closely with a US qualified lawyer (based in US), advise US based teams on a wide variety of commercial agreements and legal issues;

= Working closely with the London based legal team members, collaborate to complete tasks and manage responses to requests from the Business Leaders, and utilise paralegal support to complete certain tasks including research;

= Advise on data privacy and commercial compliance issues in the context of e-commerce activities;

= be a proactive subject matter expert in data protection, reviewing externally published materials to ensure compliance with relevant regulations and legislation;

= Provide general legal guidance across the business to the Commercial, Marketing, Digital/Product, (global business) and Editorial Teams within Time Out;

= To assist with contract process solutions to ensure effective working procedures in accordance with Time Out Group Plc’s policies;

= Participate in the development of the legal team activities, such as revising and updating contract templates, conducting training sessions for the business, sharing knowledge of legal and commercial policy changes both to legal and business colleagues;

= Provide assistance from time to time with Time Out’s trademark related matters: including managing the trademark portfolio, liaising with external trademark attorneys, providing legal advice on trademark related legal issues (including trademark infringement) under both UK and EU laws;

= Participate in regional and/or global projects and coordinate with Time Out’s affiliate companies (both owned and operated and franchisees) throughout the USA, Europe, Asia and Australia and provide them with legal support;

= Provide legal guidance on libel, defamation and other editorial laws under English law.

= Research legal issues as and when required.

Skills, Experience and Qualifications

= Proven relevant legal experience either gained in-house or in Private Practice in the Media is required for this role.

= Proven knowledge and experience managing legal issues for global businesses is essential;

= Qualified lawyer. We will also consider candidates qualified in other jurisdictions as long as they have the required experience.

= UK or UK equivalent degree required, preferably in law .

= Specific knowledge and experience of both EU and US data protection and privacy law is essential.

= Knowledge and experience dealing with trademark infringement is required;

= Knowledge and experience in international information services transactions, commercial contracting, privacy and regulatory compliance, in the media sector is essential.

= Strong IPR background and specialist knowledge and experience is required. Excellent oral and written communication skills, with attention to detail.
