Head of Legal Great Growing Tech Company!!!

The Role:

Responsible for all legal corporate and commercial aspects of the business. This principally involves:

Involvement in and often leading the negotiation of customer and supplier contracts; and Interpreting the legal and contract responsibilities of the business and assisting in their implementation 

The role also includes the oversight of aspects of the Compliance team and, in particular, of the company’s data protection obligations.

Essential Duties and responsibilities:


Ownership of the company’s standard sales agreement bundle, which includes consultation with Sales, Product, Service Delivery and Compliance 

Working with the head of partnerships, ownership of the standard in-country payroll partner agreement bundle
Negotiation of contracts with prospects, customers, partners and vendors, which will require an understanding of the business requirements as well as consultation with the key stakeholders where appropriate, such as Service Delivery and Compliance 


Ensuring that the group complies with its corporate responsibilities as regards the maintenance of its statutory books, share-holder and option-holder records and statutory filings 

Management / performance of company secretary duties including completion of all required statutory filings
Maintenance of corporate insurance policies and ensuring that there is adequate coverage across the business. This includes:

- maintaining the relationship with company’s insurance brokers;
- ensuring that updates are made to the policies in line with changes in the business;
- conducting a periodic review of the adequacy of the coverage that is in place; and
- ensuring that the brokers are informed of any possible claims on a timely basis

Ensure the protection of the company’s intellectual property, including maintenance of trademarks and working with external advisors 

Compliance and Data Protection

Management of the Compliance Coordinator and oversight of the day-to-day compliance requirements of the business 

Provide direction and guidance to the Head of Data Protection, including interpreting the data protection regulations and ensuring that these are reflected in contracts
Maintenance of the legal risk register.  This will include an overall assessment of the legal risks that the company is exposed to and implementation of strategies to mitigate those risks 

Member of the Risk and Governance Steering Group


Lead role in the management of existing shareholders and any future fund-raising activities
With assistance from the Compliance Project Administrator, maintenance of the legal records of the business in an organised and easily accessible manner and ensuring that they are complete 

Management of the legal delegation of approval matrix to ensure that responsibility for the signing of legal agreements is appropriately delegated across the business
Instruct and maintain relationships with external counsel 

Ensuring that the business is kept up to date with changes in law and that its contractual arrangements appropriately reflect any changes.  This includes a requirement to ensure that an appropriate level of legal training and updates are undertaken
Provide general expertise and guidance with regards to specific contractual issues and disputes 

Other ad-hoc duties as requested

The Ideal Person:

Qualified solicitor with at a minimum of 7 years post qualification experience
Strong attention to detail
Strong interpersonal skills with an ability to work with people at all levels
Ability to communicate effectively in written as well as spoken form
Prior experience of working in a technology environment would be an advantage if not corporate working experience in a Legal Management capacity
Prior experience of working in an international business, particularly with a focus on the US, would be an advantage
