Role Profile

This is a unique opportunity for an experienced company secretary to join The Ardonagh Group and work within a dynamic private equity environment.

Purpose of the Role:

  • To lead the Company Secretarial team, which comprises three Assistant Company Secretaries
  • Ensure company compliance with legal and financial standards
  • Maintain high levels of corporate governance
  • Provide a strong link between the Group executive team and the board

Job Description:

  • Provide full company secretarial service to the board, board committees and management committees
  • Work with the Chair, Non-executive Directors and Group executive to set appropriate board calendar, manage the Corporate Governance Framework, including role profiles, Terms of Reference and Matters Reserved to the Board
  • Perform annual effectiveness board review
  • Manage the entities within the business to ensure Group entity statutory records are compliant with legal, statutory and regulatory requirements
  • Ensure that the statutory and regulatory filings managed by the team are completed on time to the appropriate standard
  • Ensure that Company Secretarial policies and procedures are reviewed routinely and implemented in an appropriate manner
  • Identify, assess and implement regulatory and legislative changes
  • Manage the annual refresh of all corporate document materials
  • Manage all correspondence, collate information and write reports ensuring decisions made are communicated to the relevant company stakeholders
  • Contribute to formal meeting discussions as and when required, advising on legal, governance, account and tax implications of proposed policies
  • Liaise with external advisors particularly external lawyers and auditors
  • Provide strong leadership and develop current team

Essential criteria - must be clearly demonstrated on CV

  • Qualified Chartered Secretary (ACIS or FCIS)
  • Experienced in all aspects of company secretarial work within insurance or financial services organisations
  • Exceptional stakeholder management skills
  • Excellent knowledge of Financial Services regulatory requirements and corporate governance

  • Capability to work with numerical information, plus analytical and problem-solving skills
  • Integrity and discretion when handling confidential information
  • Able to manage relationships at all levels of the business to influence the achievement of good board outcomes
  • Flexible and adaptable personal style with strong influencing and negotiation skills


  • Previous experience within private equity environment
  • Experience of Diligent board management software
