Company Secretary - 15 Months FTC

We have an exciting opportunity for a Company Secretary to join an Insurance and Reinsurance organisation in Brighton on a 15 months Fixed Term Contact.

What does the role involve?

  • To provide full and complete Company Secretarial advice and administration;
  • Liaise with other group companies;
  • Assist the Corporate Legal and Litigation teams as required;
  • Assist and lead on ad hoc Projects;
  • Provide assistance and support for any Solvency II related activities as requested or required;
  • Have an awareness of the Treating Customers Fairly ("TCF") and Conduct Risk strategies; and
  • Have an awareness of Data Protection legislation, including the Data Protection Act and the General Data Protection Regulations

Key Responsibilities and Competencies:

To provide full and complete Company Secretarial administration assistance

  • Attend board, committee and other meetings, either with the Company Secretary or in sole attendance, and produce comprehensive minutes as soon as possible thereafter;
  • Prepare and circulate hard and soft copy reporting packs in preparation for board and committee meetings;
  • Record and report on actions arising from meetings and monitor them to completion;
  • Liaise with the Directors, Managers and Company Secretary in order to schedule board and committee meetings;
  • Prepare for all board and committee meetings by ensuring that invitations are circulated, agendas are agreed and distributed, rooms and refreshments are booked;
  • Identify, complete and file corporate returns as required at Companies House;
  • Maintain the statutory registers and operate Blueprint; and
  • Research and monitor legal developments impacting on the structure of the group’s board of directors

Liaison with Group Companies

  • Liaise with other group companies to provide information on the structure and operations of the group’s UK companies

Assist the Corporate Legal and Litigation teams as required

Assist and lead on ad hoc Projects

  • Lead the process of assessing and complying with the requirements of the Modern Slavery Act; and
  • Assist compliance department with the annual board effectiveness reviews
  • Knowledge of London insurance market is a distinct advantage;
  • Competent in Microsoft Office - primarily Outlook & Word;
  • Excellent diary management;
  • Excellent and extensive experience of minute taking;
  • Able to complete work on time and to a high standard with minimal supervision;
  • Excellent planning and organisational skills;
  • Able to prioritise your own workload and anticipate and avoid problems;
  • Excellent written and verbal communication skills;
  • Able to communicate with confidence at all levels, extremely literate with a clear and analytical approach;
  • Ability to establish and maintain good working relationships with both internal and external stakeholders;
  • To act in a professional and confidential manner at all times protecting the interests of the group;
  • Possess high attention for detail;
  • An ability to work to tight deadlines with managing/prioritising workloads and be accountable and take ownership for ensuring deadlines and commitments are met; and
  • Operates effectively as part of a team or alone and can build/maintain working relationships with others and is seen as approachable and helpful
