Commercial Contracts Senior Supervisor

Requires at least 4-6 years PQE as a paralegal or equivalent

Key Responsibilities:

Vendor Contracts:

  • Management of & co-ordinating new vendor set-up (vendor on-boarding) from receipt of the pre-vendor business plan through to contract finalisation
  • Business overview & review to determine the terms required for a new contract/contract amendment/contract renewal
  • Issuing standard contracts, or review of a vendor's terms, as agreed
  • Proof reading
  • Assisting with redlining & high lighting unacceptable terms, negotiating terms
  • Co-ordinating & attending meetings or conference calls with vendors for purposes of negotiating terms (commercial & legal)
  • Clarification & or approval of terms & risk reviews with Commercial Contracts Manager, Purchasing Director and/or Head of Legal and Compliance (as appropriate)
  • Co-ordinating & managing both internal & vendor personnel until agreement in place & vendor is set up.
  • Preparing final contract documents
  • Co-ordinating signatures & countersignatures
  • Scanning & filing completed contracts
  • Capturing finalised contractual terms in a spreadsheet or contract management tool
  • For vendors where the off-boarding process (termination) is being following - work with all relevant internal parties to follow the termination process
  • Assist in preparation of relevant contractual documents/letters to facilitate termination for off-boarding

Sales Contracts

  • Proof reading of received customer contracts
  • Assisting with preparation of comments spreadsheet and/or redlining & high lighting unacceptable terms
  • Assisting in preparation of a gap analysis (as required) to identify potential gaps between customer terms and backed-off terms with vendors
  • Clarification & or approval of terms & risk reviews with Commercial Contracts Manager, General Sales Manager, Sales Director and/or Finance Director (as appropriate)
  • Work with internal personnel (sales and commercial) until contract is finalised, including attending meetings for purposes of negotiating or discussing terms
  • Where required, preparing final contract documents
  • Co-ordinating signatures and countersignatures
  • Scanning & filing completed contracts
  • Capturing finalised contractual terms in a spreadsheet or contract management tool

NDA contracts:

  • Proof reading
  • Assisting with redlining & highlighting unacceptable terms, negotiating terms
  • Clarification & review of high risk terms with Commercial Contracts Manager, Purchasing Director and/or Head of Legal and Compliance (as appropriate)
  • Preparing final contract documents
  • Co-ordinating signatures & countersignatures
  • Scanning & filing completed contracts
  • Capturing finalised contractual terms in a spreadsheet or contract management tool

Maintaining & keeping the following up to date & circulated to the relevant people:

  • Pre-vendor / business plan and compliance document
  • Process documents for vendor on-boarding and vendor termination
  • Ensuring contract folders are kept up to date
  • Ongoing review of Exertis contract templates (working together with Commercial Contracts Manager, and Head of Legal and Compliance) to ensure most appropriate terms are in place and/or drafting new terms / new templates as required
  • On-going internal education
  • Ensure contract status and content spread sheet (or other contract management tool) is kept updated
  • Keep track of new vendors results versus business plan forecast

General

  • Promote awareness of competition law issues
  • Liaising with sales & commercial internal business personnel when contract terms don't align
  • Move vendors onto newer contract agreements when & where possible
  • Contract training programs
  • Demonstrate a strong awareness of and commitment to Ethics and Compliance and the Group Business Conduct Guidelines.

Projects

  • Contract management system - assist as required with the implementation of a contract management system
  • Vendor Culling
  • Contract Analysis for improvement of terms
  • Monitering low performing vendors
  • Assisting with novation of existing contracts arising out of acquisition of third party distributors
