Job Opportunity: Commercial/Corporate Legal Counsel Location: Cambridgeshire (hybrid) Salary: NegotiableJob Type: Full-TimeReports To: Head of Legal Role Summary We are seeking an experienced and highly skilled Commercial/Corporate Legal Counsel to join our client's legal team. Our client is a dynamic and forward-thinking organisation dedicated to providing top-tier legal support to their business and its customers. The successful candidate will work closely with the Head of Legal to provide robust legal advice and representation, particularly in the areas of mergers and acquisitions, company law, and commercial contracts. This role requires a proactive and trusted advisor who can draft and negotiate a wide range of contractual documents, manage legal risks, and support the business in achieving its strategic objectives. Key Responsibilities Legal Advisory: Provide expert advice to the board and wider business on mergers and acquisitions, finance, and associated company and commercial law.Contract Management: Draft, negotiate, and manage a full suite of contractual documents, including SPAs, disclosure letters, loan agreements, and security documents.Risk Management: Ensure that legal risks are appropriately managed and relevant securities are identified, drafted, and registered.Stakeholder Engagement: Conduct regular meetings to advise colleagues on commercial and legal risks, ensuring compliance with agreements.Reporting: Provide regular and bespoke reports to the Head of Legal and other stakeholders, identifying legal and contractual lessons learned. Qualifications and Experience Qualified SolicitorStrong background in mergers and acquisitions, company law, and commercial law, particularly in the B2B finance and/or renewable energy sectors. Skills Proactive and trusted advisor with leadership qualities.Ability to work independently and as part of a team.Excellent negotiation and drafting skills for small to multi-million pound contracts.Strong organisational skills with the ability to manage multiple workstreams and meet tight deadlines.Highly accurate analytical skills for regular and ad hoc reporting.
